MINUTES OF THE SPECIAL MEETING

OF THE GOVERNING BOARD

SCOTTSDALE SCHOOL DISTRICT NO. 48

                       

May 8, 2003

 

A Special Meeting of the Governing Board of the Scottsdale Unified School District, #48, Maricopa County, was called to order at 3:07 PM, at the Scottsdale School District Education Center Board Room, 3811 North 44th Street, Phoenix, Arizona. 

 

Board Members in attendance were David R. Goldstaub, President; Shari Avianantos, Clerk; Karen Beckvar; Christine M. Schild; and Sandra Zapien-Ferrero.  A quorum was present.

 

President Goldstaub asked for a motion to convene in Executive Session.  Mrs. Schild asked for a point of clarification.  Mrs. Schild stated she noticed that Mary Ellen Simonson, attorney for the District, had “come into the Board Room” and Mrs. Schild wanted to know if President Goldstaub “intended for Ms. Simonson to participate in the proceedings in any way, and if so, what the nature of her participation would be.”  President Goldstaub replied he “did intend for Ms. Simonson to participate and that her participation is as legal representative for the School Board in their contract negotiations with the Superintendent and to provide the Governing Board with advice as required on Open Meeting Law compliance.”

 

Mrs. Schild responded that for the record she “would like to note my objection to the participation of Lewis and Roca in these proceedings.  Lewis and Roca represents both the District and the Board.  As the Chief Executive Officer of the School District, Dr. Erwin has significant discretion in determining when and under what circumstances Lewis and Roca should be employed by the School District.”  Mrs. Schild further stated she “did not receive a written notice of disclosure of this conflict of interest, nor was I requested to waive this conflict of interest.” 

 

In response, President Goldstaub stated “there is no conflict; there is no need to waive it because it doesn’t exist and there is no need to notify anyone because it doesn’t exist; there simply is no conflict, period.”

 

President Goldstaub asked for a motion to convene in Executive Session.

 

Mrs. Schild moved to convene in Executive Session for:

 

Discussion and consideration for the employment/promotion/salary of the Superintendent, including her evaluation and contract, and including discussion and consultation for legal advice with Board Attorneys on the same subjects, pursuant to A.R.S. §38-431.03(A)(1)(3) and (4).

 

Mrs. Schild further stated she was “in no means waiving my objection by making this motion.”  Mrs. Zapien-Ferrero seconded the motion.

 

The motion was approved with a vote of 5 – 0.

 

At 5:23 PM, the Special Meeting was reconvened.

 

At 5:29 PM, Ms. Beckvar motioned to adjourn the Special Meeting.  Mrs. Zapien-Ferrero seconded the motion.

 

The motion was approved with a vote of 5 – 0.
